Terms of Service & End-User License Agreement

These Terms of Service and End-User License Agreement (the “Terms”) govern your access to and use of Categorly (the “Service”). By creating an account, connecting QuickBooks, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of a firm or business, you represent that you are authorized to bind that organization.
1. The Service
Categorly helps accounting firms and their clients resolve uncategorized QuickBooks Online transactions. It surfaces purchases booked to a designated holding account, lets authorized staff assign them to a person for categorization, and — on that person's instruction — writes the chosen account back to QuickBooks Online. We may add, change, or remove features over time.
2. Accounts and eligibility
You must provide accurate account information and keep it current. You are responsible for all activity under your account and for keeping your credentials secure. You must be at least 18 years old and legally able to enter into these Terms. Firm administrators are responsible for the users they invite and the access those users are granted.
3. QuickBooks connection and authorization
When you connect a QuickBooks Online company, you authorize Categorly to access and modify that company's data through Intuit's APIs solely to provide the Service — including reading transactions and the chart of accounts, and updating the expense account on transactions you or your users choose to categorize. You are responsible for ensuring you have the right to connect each company and to authorize these changes. You may disconnect a company at any time, which revokes our access going forward.
4. Acceptable use
You agree not to misuse the Service, including by: attempting to access data belonging to other organizations; interfering with or disrupting the Service; reverse engineering or circumventing security; using the Service to violate any law or third-party rights; or uploading malicious code. We may suspend or terminate access for conduct that violates these Terms.
5. Your data
As between you and us, you retain all rights to your data, including your QuickBooks data. You grant us a limited license to host, process, and transmit that data only as needed to operate and improve the Service and as described in our Privacy Policy. You are responsible for the accuracy of the categorizations submitted through the Service and for reviewing their effect in QuickBooks.
6. Fees
Some plans may require payment. Any fees, billing terms, and trial details will be presented to you before you subscribe. Unless stated otherwise, fees are non-refundable except where required by law.
7. Intellectual property
The Service, including its software, design, and trademarks, is owned by Categorly and its licensors and is protected by law. These Terms do not grant you any right to our trademarks or branding. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service.
8. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that categorizations will be accurate. You are responsible for verifying financial records. Categorly is not an accounting, tax, or financial advisory service and is not a substitute for professional judgment.
9. Limitation of liability
To the maximum extent permitted by law, Categorly will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amounts you paid us for the Service in the twelve months before the claim.
10. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. Upon termination, your right to use the Service ends; provisions that by their nature should survive will survive.
11. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
12. Governing law
These Terms are governed by the laws of the State of Arizona, USA, without regard to its conflict-of-laws rules. Any disputes will be resolved in the state or federal courts located in Arizona.
